01 Acceptance of Terms

By accessing or using the Neotiqa platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately cease all use.

Your access constitutes a binding legal agreement between you and Neotiqa.

02 Demonstration Status

The Platform is provided solely as a technology demonstration. You acknowledge that:

• This is not a commercial product available for public use
• All features and outputs are for demonstration purposes only
• No warranties are made regarding accuracy or reliability
• Access is granted on a limited, revocable basis at Neotiqa's discretion

03 Intellectual Property Rights

Ownership

Neotiqa retains all rights, title, and interest in:

• All AI algorithms, machine learning models, and neural network architectures
• All software code, source code, and compiled programs
• All workflow designs, processing pipelines, and methodologies
• All user interface designs and user experience concepts
• All business concepts, ideas, and implementation strategies
• Any outputs, results, or generations produced by the Platform

Trade Secrets

The technical implementation and methodologies constitute trade secrets protected under applicable law. You agree to treat all aspects of the Platform as confidential.

No License Granted

No license, express or implied, is granted under any intellectual property rights. Your access does not transfer any ownership or right to use the technology beyond viewing this demonstration.

04 Prohibited Activities

You are expressly prohibited from:

1. Reproduction: Copying or duplicating any aspect of the Platform
2. Reverse Engineering: Attempting to derive source code, algorithms, or underlying logic
3. Derivative Works: Creating similar products or competing services
4. Concept Reproduction: Implementing systems that reproduce demonstrated functionality
5. Sharing: Disclosing any information about the Platform to third parties
6. Screenshots/Recording: Capturing the Platform without express written consent
7. Commercial Use: Using any aspect for commercial purposes

05 Legal Consequences

Civil Liability

Violation may result in:

• Injunctive relief to immediately cease all infringing activities
• Monetary damages, including actual, statutory, and punitive damages
• Disgorgement of all profits derived from infringement
• Recovery of all legal fees and enforcement costs
• Minimum damages of €500,000 EUR per violation

Criminal Liability

Certain violations may constitute criminal offenses under intellectual property and trade secret laws, which may result in criminal prosecution, fines, and imprisonment.

International Enforcement

Neotiqa will pursue legal action in all applicable jurisdictions worldwide. You consent to the jurisdiction of courts in Romania, the EU, and any other jurisdiction where Neotiqa elects to bring action.

06 Confidentiality

You agree to maintain strict confidentiality regarding all features, functions, capabilities, technical details, and business information observed through access to the Platform. This obligation survives termination and remains in effect indefinitely.

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

09 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEOTIQA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

10 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Romania and the European Union. You consent to the exclusive jurisdiction of the courts of Romania for any disputes.
